Scope of services: We agree to provide accounting, tax, payroll, bookkeeping, and/or consulting services as described in a separate engagement letter, statement of work, or service agreement, which will detail timelines, deliverables, fees, and each party’s responsibilities.
Payment terms: You agree to pay for services as outlined in your agreement. Fees for recurring services are generally billed in advance or as stated in writing. Late or missed payments may result in suspension or termination of services.
Except as expressly agreed in writing, these Terms do not transfer from us to you any of our or third parties’ intellectual property. Workpapers, templates, methodologies, and proprietary processes we develop remain ours unless your agreement states otherwise. Materials you provide remain yours.
You agree to provide timely access to records, documentation, personnel, and systems reasonably needed to perform the services. You are responsible for the accuracy and completeness of information you supply and for maintaining backup copies of your records where applicable.
Either party may terminate an engagement as set forth in your written agreement, or where not specified, with reasonable written notice. We may suspend or terminate access to services for non-payment or material breach of these Terms or your engagement terms.
Provisions that by their nature should survive—including ownership, disclaimers, indemnity, and limitations of liability—survive termination.
Our services are provided "AS IS" and "AS AVAILABLE." To the fullest extent permitted by law, Warrior Accounting And Consulting Services, LLC and its suppliers disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee specific financial outcomes, tax results, audit outcomes, or third-party actions by tax authorities or others.
You use information from or through our services at your own discretion and risk.
To the maximum extent permitted by law, Warrior Accounting And Consulting Services, LLC and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of the Service or these Terms.
Except where applicable law provides otherwise, these Terms and your use of the Service are governed by the laws of the State of Colorado, U.S.A., without regard to conflict-of-law rules.
